Terms of service

These Terms of Service are a binding agreement between you and Rumeqo, Inc., a Delaware corporation (“Rumeqo,” “we,” “us,” or “our”). By accessing the website, creating an account, or using the service, you agree to these Terms and our Privacy Policy.
1. Eligibility and authority
You must be at least 18 years old and able to enter into a binding contract. If you use the service for an organization, you represent that you have authority to bind that organization.
2. The service
Rumeqo provides an AI workforce platform that lets customers configure rooms, agents, reporting lines, memory, tools, connectors, scheduled tasks, and approval controls. Features may evolve. Availability can depend on plan, region, connected service, model provider, or technical limits.
3. Accounts and security
You are responsible for accurate account information, the confidentiality of credentials and sign-in links, and activity under your account. Promptly notify us of suspected unauthorized use. You may not share access in a way that bypasses plan or seat limits.
4. Customer content and instructions
You retain ownership of content, code, files, prompts, instructions, credentials, connector data, and other material you submit or make available to the service (collectively, Customer Content). You grant us a limited, worldwide, non-exclusive license to host, copy, transmit, process, and display Customer Content only as needed to provide, secure, support, and improve the service and to comply with law.
You represent that you have the rights and permissions required for Customer Content and for each connected account or data source. Do not submit information whose use would violate law, contract, confidentiality, privacy, or intellectual-property rights.
5. AI output and human oversight
AI-generated output can be incomplete, inaccurate, or unsuitable. Similar output may be generated for different users. You are responsible for reviewing output, approvals, tool calls, code changes, and business decisions before relying on or publishing them. The service is not legal, medical, financial, employment, or other professional advice.
6. Tools, connectors, and third-party services
When you connect a third-party service or authorize an agent to use a tool, you direct us to exchange the information necessary to perform that action. Third-party services, models, repositories, and connectors are governed by their own terms and privacy practices. We are not responsible for third-party availability, output, security, or changes.
7. Acceptable use
- Do not violate law, sanctions, export controls, another person’s rights, or contractual restrictions.
- Do not submit malware, evade safeguards, probe for vulnerabilities, overload the service, or gain unauthorized access.
- Do not use the service to facilitate fraud, harassment, unlawful surveillance, discrimination, or deceptive impersonation.
- Do not reverse engineer protected portions of the service, resell access without permission, or use automated means to evade quotas or billing.
- Do not represent AI output as verified human work when that would be deceptive or unlawful.
8. Fees, plans, and cancellation
Where paid services are enabled, prices, usage charges, credits, billing intervals, and material plan limits are shown at purchase or in the account. Subscriptions renew until canceled. You may cancel future renewal through the available account controls. Except where the purchase terms or applicable law require otherwise, fees for completed billing periods and consumed usage are non-refundable. Nothing in these Terms limits non-waivable consumer rights.
9. Ownership and feedback
Rumeqo, Inc. and its licensors own the service, software, documentation, design, and related intellectual property, excluding Customer Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service for lawful internal purposes. If you provide feedback, you grant us a perpetual, worldwide, royalty-free right to use it without obligation.
10. Confidentiality
Each party will use reasonable care to protect the other party’s non-public confidential information and will use it only to perform or exercise rights under these Terms. Confidential information excludes information lawfully known without restriction, independently developed, or publicly available through no breach. Required legal disclosures may be made with notice where permitted.
11. Suspension and termination
You may stop using the service at any time. We may suspend or terminate access when reasonably necessary to address a material breach, security risk, unlawful conduct, nonpayment, harm to the service or others, or a legal requirement. Provisions that by their nature should survive will survive termination.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, MODELS, CONNECTORS, AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT OUTPUT WILL BE CORRECT, UNIQUE, SECURE, OR UNINTERRUPTED.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RUMEQO, INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID US DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED.
14. Indemnity
To the extent permitted by law, you will defend and indemnify Rumeqo, Inc. and its affiliates, officers, directors, employees, and contractors from third-party claims and reasonable costs arising from your Customer Content, unlawful use, connected accounts, or material breach of these Terms.
15. Changes
We may update the service and these Terms. If a change materially reduces your rights, we will provide reasonable notice where required. The date above shows the current version, and changes apply prospectively unless law requires otherwise.
16. Delaware law and forum
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Subject to any non-waivable right to bring a claim elsewhere, the state courts in New Castle County, Delaware, and the United States District Court for the District of Delaware have exclusive jurisdiction, and each party consents to those courts.
17. General
If a provision is unenforceable, it will be modified only to the extent necessary and the remainder will continue in effect. A failure to enforce is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, financing, reorganization, sale of assets, or by operation of law. These Terms and referenced policies are the entire agreement about the service.
